These Terms and Conditions (“Terms”) govern your access to and use of the website (the “Site”) operated by Renovatio Genomics LLC (“Renovatio Genomics,” “we,” “us,” or “our”), located at 617 Hutton Street, Suite 107, Raleigh, NC 27606, United States, as well as any services we provide, including but not limited to genomics sequencing, bioinformatics analysis, causal interpretation, and related consulting support (collectively, the “Services”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, law firm, organization, or other entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not access or use the Site or Services.

1. Services Description

Renovatio Genomics provides full-service genomics solutions, including whole genome sequencing, whole exome sequencing, transcriptome (RNA) sequencing, epigenetic sequencing, and comprehensive in-house bioinformatic, statistical, and causal analysis. We do not offer raw sequencing data alone; all Services include internal interpretive expertise to deliver actionable, objective insights primarily for toxic tort, environmental exposure, medico-legal, and litigation contexts in the United States, with support available for select international clients.

The Services are provided as a specialized scientific consultancy and are not intended to constitute medical diagnosis, treatment recommendations, legal advice, or the practice of medicine or law. Results and interpretations are scientific in nature, based on current methodologies and data, and are subject to inherent scientific uncertainties, limitations in knowledge, and individual variability.

2. No Professional Advice

The Site and Services are for informational, educational, and consultative purposes only. Nothing herein or in any report, analysis, or communication constitutes medical advice, a diagnosis, a treatment plan, legal advice, or expert testimony unless expressly agreed in a separate engagement contract. You must consult qualified healthcare professionals for medical matters and licensed attorneys for legal matters. We do not guarantee any specific litigation outcome, causation determination, courtroom admissibility, or compliance with Daubert/Frye or other evidentiary standards.

3. Eligibility and Use Restrictions

You must be at least 18 years old and capable of forming a binding contract to use the Services. You agree not to:

Use the Site or Services for any unlawful purpose or in violation of any applicable law;
Attempt to reverse engineer, decompile, disassemble, or derive source code from any part of the Services;
Interfere with the Site’s operation or security;
Submit false, misleading, or incomplete information;
Use the Services to develop competing products or services.

4. Intellectual Property

All content on the Site, including text, graphics, logos, reports, analyses, methodologies, and proprietary bioinformatics processes, is owned by Renovatio Genomics or its licensors and protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and use content solely for your personal, non-commercial evaluation of our Services. No license is granted for commercial reproduction, distribution, modification, or creation of derivative works without our prior written consent.

Any deliverables provided as part of the Services (e.g., reports, interpretations) are licensed to you for the specific purpose agreed upon and remain subject to our ownership of underlying methodologies and tools.

5. Payment and Billing

Fees for Services are quoted separately via proposal, invoice, or engagement agreement. Payment terms are as specified therein (e.g., net 30 days). We reserve the right to suspend or terminate Services for non-payment. All fees are non-refundable except as expressly stated in a written agreement.

6. Limitation of Liability

To the fullest extent permitted by law, Renovatio Genomics, its affiliates, officers, directors, employees, experts (including Dr. Len van Zyl), and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from or related to the Site, Services, or any reports/insights provided, even if advised of the possibility of such damages.

Our total liability shall not exceed the fees paid by you for the specific Services giving rise to the claim in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Renovatio Genomics and its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or Services, your violation of these Terms, or your submission of inaccurate/incomplete information.

8. Termination

We may terminate or suspend your access to the Site or Services at any time, without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Site/Services ceases immediately.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes arising from or related to these Terms, the Site, or Services shall be resolved exclusively in the state or federal courts located in Wake County, North Carolina. You consent to the personal jurisdiction and venue of such courts.

10. Changes to Terms

We may update these Terms periodically. Changes will be posted on the Site with the updated “Last Updated” date. Continued use of the Site or Services after changes constitutes acceptance of the revised Terms.

11. Miscellaneous

Entire Agreement: These Terms, together with any applicable engagement agreements, proposals, our Disclaimer, Privacy Policy, and other referenced policies, constitute the entire agreement between you and Renovatio Genomics.
Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
No Waiver: Failure to enforce any right does not constitute a waiver.
Assignment: You may not assign these Terms without our prior written consent. We may assign them to affiliates or in connection with a business transfer.
Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
